These Terms of Service ("Terms") govern your access to and use of the website, digital portals, and B2B operational services (collectively, the "Services") provided by Verinex LLC, an Arizona limited liability company ("Verinex", "Company", "we", "us", or "our"). By accessing our website, executing a Statement of Work ("SOW"), or purchasing our Services, you ("Client", "User", or "you") agree to be bound by these Terms.
1. Description of Services
Verinex LLC is a specialized B2B digital operations and data integrity firm. Our core Services include auditing, validating, and requesting updates to online professional directories on behalf of licensed professionals, including physicians and healthcare providers.
Scope of Deliverables: All specific deliverables, operational parameters, and target directory listings are governed by the applicable Statement of Work or Client Service Agreement executed between you and Verinex.
Third-Party Platforms: Verinex acts as an authorized operational agent to request updates and validate data on third-party directory platforms. We do not own or control third-party directories and cannot guarantee instantaneous indexing, platform uptime, or immunity from third-party data-scraping overwrites.
2. Fees, Billing, and Payment Terms
Service Pricing: All current pricing, setup fees, and recurring service tiers are set forth and published on our official store page at https://www.verinex.us/services-store. Unless otherwise customized in an executed SOW, Client agrees to pay the fees as listed on our store at the time of purchase or contract execution.
Taxes: Pursuant to Arizona tax regulations, pure professional, manual data operations, and done-for-you (DFY) digital services are generally not subject to Arizona Transaction Privilege Tax (TPT). If you purchase automated software, SaaS, or taxable digital products in the future, applicable local and state taxes will be automatically calculated and added at checkout based on your billing location.
Refunds and Dispute Policy: Fees paid for completed audit setups or active monitoring retainers are non-refundable once services have commenced. Any chargebacks, payment reversals, or fraudulent refund requests will be contested, and Verinex reserves the right to immediately suspend Services.
3. Client Obligations & Authorization
By engaging Verinex LLC, you represent and warrant that:
You are an authorized representative of the professional practice or healthcare entity receiving Services.
You grant Verinex permission to act on your behalf to submit data correction requests, profile updates, and verification documentation to online directories.
All information you provide to us (such as practice locations, phone numbers, licensing data, and specialty descriptions) is accurate and current.
3.1 Mandatory Identity Verification & Authorized Delegate Warranty
To protect the integrity of online professional directories and prevent unauthorized modifications to licensed provider profiles, Company requires successful identity verification as a mandatory prerequisite to Service commencement.
Verification Workflow: Client agrees that Company will not initiate audits, submit profile updates, or perform any operational deliverables until the licensed professional (or a legally authorized delegate) successfully completes an identity verification workflow hosted by Company’s designated third-party verification provider.
Authorized Authority Warranty: By completing verification, User expressly warrants and represents that: (a) they are the actual licensed professional whose credentials are being submitted, or (b) they are a legally authorized corporate delegate possessing explicit power of attorney or administrative authority to act on the provider's behalf.
Failure of Verification: If User fails the identity verification process, refuses to complete the workflow, or submit required documentation, Company reserves the right to immediately withhold deliverables, suspend Services, or terminate the Agreement without penalty or liability.
Third-Party Uptime & Terms: The identity verification process is hosted and governed entirely by a separate third-party verification platform. User acknowledges that their interaction with the verification workflow is subject to the vendor’s independent terms of service and privacy practices. Company expressly disclaims any liability for service delays, commencement postponements, or operational failures resulting from third-party verification system downtime, technical errors, or manual review backlogs.
4. Intellectual Property & Work Product
Company IP: All proprietary workflows, scripts, validation methodologies, operational portals, and data outputs developed or utilized by Verinex remain the sole and exclusive property of Verinex LLC.
Client Data: You retain all right, title, and interest in and to your pre-existing practice data, trademarks, and professional profile information.
5. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERINEX LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VERINEX DOES NOT WARRANT THAT DIRECTORY VALIDATIONS WILL RESULT IN SPECIFIC SEARCH ENGINE RANKINGS OR REVENUE INCREASES.
6. Limitation of Liability
IN NO EVENT SHALL VERINEX LLC, ITS MEMBERS, MANAGERS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PATIENTS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS. VERINEX’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO VERINEX IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7. Indemnification
You agree to defend, indemnify, and hold harmless Verinex LLC and its affiliates, contractors, and clients from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) the inaccuracy or illegality of any data or materials you provide to us ; or (c) your violation of any third-party directory terms of service.
8. Governing Law & Dispute Resolution
These Terms and any dispute arising from them shall be governed by, construed, and enforced in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any legal actions, suits, or proceedings arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Arizona, and the parties hereby consent to the personal jurisdiction and venue of such courts.
9. Modifications to Terms
Verinex reserves the right to modify or update these Terms and its Operational Policies at any time to adapt to operational, client, or regulatory needs. We will notify Users of material changes via email or notice on our website. Your continued use of the Services following notification constitutes full acceptance of the updated Terms.
